ON REGISTRATION OF THE BOND PROSPECTUS OF “ARMENIAN LEASING COMPANY” UNIVERSAL CREDIT ORGANIZATION CJSC

On 15 December 2025, “ARMENIAN LEASING COMPANY” UCO CJSC submitted to the Central Bank of the Republic of Armenia an application for the registration of a prospectus for registered, coupon bonds with a total volume of AMD 1,000,000,000 (one billion) at a nominal value of AMD 50,000 (fifty thousand) each, along with the corresponding prospectus and all documents required for the registration of the prospectus under the Republic of Armenia Law “On Securities Market” and Regulation 4/04 “Prospectus and Reports of Reporting Issuers” approved by Decision No. 68-N of the Board of the Central Bank of the Republic of Armenia dated March 11, 2008.
On December 23, 2025, “ARMENIAN LEASING COMPANY” UCO CJSC also submitted to the Central Bank a supplement to the program prospectus.
Pursuant to the foregoing, and Section 3 of Article 2 of the RA Law “On the Central Bank of the Republic of Armenia” and Article 10 of the Republic of Armenia Law “On Securities Market,” and taking into account the conclusion of the Licensing and Supervision Committee of the Central Bank of the Republic of Armenia (Minutes No. 57 dated December 24, 2025),

I HEREBY DECIDE TO:

1. Register the program prospectus for registered, coupon bonds submitted by “ARMENIAN LEASING COMPANY” UCO CJSC to the Central Bank of the Republic of Armenia on December 15th, 2025 (as supplemented on December 23rd, 2025).
2. This Decision shall enter into force on the day following the date of its delivery to “ARMENIAN LEASING COMPANY” UCO CJSC, or to its authorized representative, in the manner prescribed by “ARMENIAN LEASING COMPANY” UCO CJSC.
