Registering the Program Prospectus for Bonds of “Armenia Economy Development Bank”, an Open Joint-Stock Company

Whereas on March 21, 2025 “Armenia Economy Development Bank”, an Open Joint-Stock Company, submitted an application to the Central Bank of the Republic of Armenia for registering a program prospectus for nominal, coupon bonds with a face value of AMD 10,000 (ten thousand Armenian drams), with a total volume of AMD 10,000,000,000 (ten billion Armenian drams) and with a face value of USD 100 (one hundred United States dollars), with a total volume of USD 15,000,000 (fifteen million United States dollars), along with the respective prospectus and all the documentation and deliverables, which is required for registration of the prospectus in accordance with the Republic of Armenia Law “On the Securities Market” and Regulation 4/04 “Prospectus and Statements of Reporting Issuers” as approved under the Republic of Armenia Central Bank Board Resolution No. 68-N, dated March 11, 2008;
By virtue of what is written above;
Pursuant to Article 2 (3) of the Republic of Armenia Law “On the Central Bank of the Republic of Armenia”, and Article 10 of the Republic of Armenia Law “On the Securities Market”; and
Considering the conclusion issued by the Licensing and Supervision Committee of the Central Bank of the Republic of Armenia (Minutes No. 15, dated April 2, 2025),

We decide:

1. Register the Program Prospectus for nominal, coupon bonds as presented by “Armenia Economy Development Bank” Open Joint-Stock Company on March 21, 2025.
2. This decision to enter into force upon being registered with “Armenia Economy Development Bank” Open Joint-Stock Company or on the day following its delivery to an authorized representative of “Armenia Economy Development Bank” Open Joint-Stock Company, in the prescribed manner.
