BOARD RESOLUTION

On Registration of the Rules of the “Wilco Armenia Bond AMD” Nonpublic Interval Contractual Investment Fund and “Wilco Armenia Bond USD” Nonpublic Interval Contractual Investment Fund of “Wilco” Limited Liability Company

Pursuant to Article 2(3) and Article 20(“ki”) of the Republic of Armenia Law “On the Central Bank of the Republic of Armenia”; and Article 21 of the Republic of Armenia Law “On Investment Funds”; and Paragraph 29 of Regulation 10/11 “Terms and Conditions for Registration of Investment Fund (Fund Rules), Granting Preliminary Permission to Sell Securities of Foreign Investment Fund in the Republic of Armenia” as approved by the Republic of Armenia Central Bank Board Resolution No. 117-N, dated May 2, 2011; and
Whereas on July 20, 2026, July 28,2026, and August 25, 2026 “Wilco” Limited Liability Company applied to the Central Bank of the Republic of Armenia with a request to register the Rules of its “Wilco Armenia Bond AMD” Nonpublic Interval Contractual Investment Fund and “Wilco Armenia Bond USD” Nonpublic Interval Contractual Investment Fund; and
Considering the conclusion issued by the Licensing and Supervision Committee of the Central Bank of the Republic of Armenia (Minutes No. 42, dated September 2, 2026),

the Board of the Central Bank of the Republic of Armenia

Enacts:

1. Register the Rules of the “Wilco Armenia Bond AMD” Nonpublic Interval Contractual Investment Fund and “Wilco Armenia Bond USD” Nonpublic Interval Contractual Investment Fund of “Wilco” LLC.
2. This resolution to take effect upon acknowledgment of its receipt by “Wilco” LLC, or on the day following its duly prescribed delivery to an authorized representative of “Wilco” LLC.
