On Registration of the Prospectus for Nominal Coupon Bonds of “Renshin” Limited Liability Company

Whereas, on September 14, 2026, “Renshin” Limited Liability Company applied to the Central Bank of the Republic of Armenia for the registration of the prospectus for nominal coupon bonds with a face value of AMD 100,000 (one hundred thousand Armenian drams), in a total amount of AMD 5,000,000,000 (five billion Armenian drams), with a coupon yield of 12 (twelve) percent p/a and a maturity period of 48 (forty-eight) months, together with the prospectus and all documents and supporting materials required for prospectus registration pursuant to the Republic of Armenia Law “On the Securities Market”, and Regulation 4/04 “Prospectus and Statements of Reporting Issuers” as approved by Board Resolution No. 68-N, dated March 11, 2008, of the Central Bank of the Republic of Armenia;
Whereas, on September 22, 2026, “Renshin” LLC also submitted a supplement to the prospectus;
Based on the foregoing, and
Pursuant to Article 2(3) of the Republic of Armenia Law “On the Central Bank of the Republic of Armenia”, Article 10 of the Republic of Armenia Law “On the Securities Market”, and the conclusion of the Licensing and Supervision Committee of the Central Bank of the Republic of Armenia (Minutes No. 45, dated September 23, 2026),

Decided:

1. Register the prospectus for nominal coupon bonds with a face value of AMD 100,000 (one hundred thousand Armenian drams), in a total amount of AMD 5,000,000,000 (five billion Armenian drams), with a coupon yield of 12 (twelve) percent p/a and a maturity period of 48 (forty-eight) months, submitted by “Renshin” LLC to the Central Bank of the Republic of Armenia on September 14, 2026, together with the supplement to the prospectus submitted on September 22, 2026.
2. This decision to take effect upon acknowledgment of its receipt by “Renshin” LLC or “Ameriabank” CJSC, or on the day following its duly prescribed delivery to an authorized representative of “Renshin” LLC.
