On Registration of the Program Prospectus for Nominal Coupon Bonds of “Unibank” Open Joint-Stock Company

Whereas, on March 16, 2026, “Unibank” Open Joint-Stock Company submitted to the Central Bank of the Republic of Armenia an application for the registration of a program prospectus for nominal coupon bonds with a face value of AMD 10,000 (ten thousand Armenian drams), in an amount of AMD 5,000,000,000 (five billion Armenian drams), and with a face value of USD 100 (one hundred United States dollars), in an amount of 20,000,000 (twenty million United States dollars), and with a face value of EUR 100 (one hundred European Union currency), in an amount of EUR 20,000,000 (twenty million European Union currency), together with the prospectus and all documents and supporting materials required for prospectus registration pursuant to the Republic of Armenia Law “On the Securities Market”, and Regulation 4/04 “Prospectus and Statements of Reporting Issuers” as approved by Board Resolution No. 68-N, dated March 11, 2008, of the Central Bank of the Republic of Armenia;
Whereas, on April 3, 2026, “Unibank” Open Joint-Stock Company also submitted a supplement to the prospectus;
Based on the foregoing, and
Pursuant to Article 2(3) of the Republic of Armenia Law “On the Central Bank of the Republic of Armenia”; and Article 10 of the Republic of Armenia Law “On the Securities Market”; and the conclusion issued by the Licensing and Supervision Committee of the Central Bank of the Republic of Armenia (Minutes No. 19, dated April 8, 2026),

Decided:

1. Register the program prospectus for nominal coupon bonds, which “Unibank” Open Joint-Stock Company submitted to the Central Bank of the Republic of Armenia on March 16, 2026, together with the supplement to the prospectus submitted on April 3, 2026.
2. This decision to take effect upon acknowledgment of its receipt by “Unibank” OJSC, or on the day following its duly prescribed delivery to an authorized representative of “Unibank” OJSC.
