On Registration of the Program Prospectus for Nominal Coupon Bonds of “Ameriabank” Closed Joint-Stock Company

Whereas, on March 11, 2026, “Ameriabank” Closed Joint-Stock Company applied to the Central Bank of the Republic of Armenia for the registration of a program prospectus for nominal coupon bonds with a face value of AMD 10,000 (ten thousand Armenian drams), and with a face value of USD 100 (one hundred United States dollars), and with a face value of EUR 100 (one hundred European Union currency), in an aggregate amount of up to AMD 100,000,000,000 (one hundred billion Armenian drams), of which 50,000,000,000 (fifty billion) in domestic currency, and 50,000,000,000 (fifty billion) in foreign currency, together with the prospectus and all documents and supporting materials required for prospectus registration pursuant to the Republic of Armenia Law “On the Securities Market”, and Regulation 4/04 “Prospectus and Statements of Reporting Issuers” as approved by Board Resolution No. 68-N, dated March 11, 2008, of the Central Bank of the Republic of Armenia;
Based on the foregoing, and
Pursuant to Article 2(3) of the Republic of Armenia Law “On the Central Bank of the Republic of Armenia”; Article 10 of the Republic of Armenia Law “On the Securities Market”; and the conclusion issued by the Licensing and Supervision Committee of the Central Bank of the Republic of Armenia (Minutes No. 16, dated March 25, 2026),

Decide:

1. Register the program prospectus for nominal coupon bonds, which “Ameriabank” Closed Joint-Stock Company submitted to the Central Bank of the Republic of Armenia on March 11, 2026.
2. This decision to take effect upon acknowledgment of its receipt by “Ameriabank” CJSC, or on the day following its duly prescribed delivery to an authorized representative of “Ameriabank” CJSC.
