On Registration of the Prospectus for Bonds of “Garni Invest” Universal Credit Organization Closed Joint-Stock Company

Whereas, on February 3, 2026, “Garni Invest” Universal Credit Organization Closed Joint-Stock Company submitted to the Central Bank of the Republic of Armenia an application for the registration of a prospectus for nominal coupon bonds with a face value of AMD 50,000 (fifty thousand Armenian drams), in an amount of up to AMD 500,000,000 (five hundred million Armenian drams), comprising 10,000 (ten thousand) bonds, bearing an annual yield of 12.5% (twelve point five percent) and a maturity period of 36 (thirty-six) months, and with a face value of USD 100 (one hundred United States dollars), in an amount of up to USD 1,000,000 (one million United States dollars), comprising 10,000 (ten thousand) bonds, bearing an annual yield of 6.5% (six point five percent) and a maturity period of 36 (thirty-six) months, together with the prospectus and all documents and supporting materials required for prospectus registration pursuant to the Republic of Armenia Law “On the Securities Market”, and Regulation 4/04 “Prospectus and Statements of Reporting Issuers” as approved by Board Resolution No. 68-N, dated March 11, 2008, of the Central Bank of the Republic of Armenia;
Whereas, on February 20, 2026, “Garni Invest” Universal Credit Organization CJSC also submitted a supplement to the prospectus;
Based on the foregoing, and
Pursuant to Article 2(3) of the Republic of Armenia Law “On the Central Bank of the Republic of Armenia”, and Article 10 of the Republic of Armenia Law “On the Securities Market”, and the conclusion issued by the Licensing and Supervision Committee of the Central Bank of the Republic of Armenia (Minutes No. 12, dated February 25, 2026),

Decided:

1. Register the prospectus for nominal coupon bonds with a face value of AMD 50,000 (fifty thousand Armenian drams), in an amount of up to AMD 500,000,000 (five hundred million Armenian drams), comprising 10,000 (ten thousand) bonds, bearing an annual yield of 12.5% (twelve point five percent) and a maturity period of 36 (thirty-six) months, and with a face value of USD 100 (one hundred United States dollars), in an amount of up to USD 1,000,000 (one million United States dollars), comprising 10,000 (ten thousand) bonds, bearing an annual yield of 6.5% (six point five percent) and a maturity period of 36 (thirty-six) months, submitted by “Garni Invest” Universal Credit Organization CJSC to the Central Bank of the Republic of Armenia on February 3, 2026, together with the supplement to the prospectus submitted on February 20, 2026.
2. This decision to take effect upon acknowledgment of its receipt by “Garni Invest” UCO CJSC, or on the day following its duly prescribed delivery to an authorized representative of “Garni Invest” UCO CJSC.
