On Registration of the Trade Prospectus for the Bonds of “Dilijan Finance B.V.” as Submitted by “Ardshinbank” Open Joint-Stock Company

Whereas, on February 10, 2026, “Ardshinbank” Open Joint-Stock Company submitted to the Central Bank of the Republic of Armenia an application for registration of a trade prospectus for Loan Participation Notes of “Dilijan Finance B.V.”, in a total amount of USD 600,000,000 (Six Hundred Million United States Dollars), together with the prospectus and all documents and supporting materials required for prospectus registration pursuant to the Republic of Armenia Law “On the Securities Market”, and Regulation 4/04 “Prospectus and Statements of Reporting Issuers” as approved by Board Resolution No. 68-N, dated March 11, 2008, of the Central Bank of the Republic of Armenia;
Based on the foregoing, and
Pursuant to Article 2(3) of the Republic of Armenia Law “On the Central Bank of the Republic of Armenia”, Article 10 of the Republic of Armenia Law “On the Securities Market”, and the conclusion issued by the Licensing and Supervision Committee of the Central Bank of the Republic of Armenia (Minutes No. 12, dated February 25, 2026),

Decided:

1. Register the trade prospectus for Loan Participation Notes of “Dilijan Finance B.V.”, as submitted by “Ardshinbank” Open Joint-Stock Company to the Central Bank of the Republic of Armenia on February 10, 2026.
2. This decision to take effect upon acknowledgment of its receipt by “Ardshinbank” OJSC, or on the day following its duly prescribed delivery to an authorized representative of “Ardshinbank” OJSC.
