On Registration of the Program Prospectus for Nominal Coupon Bonds of “Renshin” Limited Liability Company

 Whereas, on December 23, 2025, “Renshin” Limited Liability Company (hereinafter also referred to as the “Company”) submitted to the Central Bank of the Republic of Armenia an application for the registration of a program prospectus for nominal coupon bonds with a face value of AMD 1,000,000 (one million Armenian drams) and USD 10,000 (ten thousand United States dollars), in a total amount of AMD 10,000,000,000 (ten billion Armenian drams), together with the prospectus and all documents and supporting materials required for prospectus registration pursuant to the Republic of Armenia Law “On the Securities Market”, and Regulation 4/04 “Prospectus and Statements of Reporting Issuers” as approved by Resolution No. 68-N of the Board of the Central Bank of the Republic of Armenia dated March 11, 2008;    

Whereas, on January 16, 2026, the Company also submitted a supplement to the prospectus;

Based on the foregoing, and

Pursuant to Article 2(3) of the Republic of Armenia Law “On the Central Bank of the Republic of Armenia”, Article 10 of the Republic of Armenia Law “On the Securities Market”, and the conclusion of the Licensing and Supervision Committee of the Central Bank of the Republic of Armenia (Minutes No. 5, dated January 21, 2026),

 Decided: 

1. Register the program prospectus for nominal coupon bonds with a face value of AMD 1,000,000 (one million Armenian drams) and USD 10,000 (ten thousand United States dollars), in a total amount of AMD 10,000,000,000 (ten billion Armenian drams), submitted by “Renshin” LLC to the Central Bank of the Republic of Armenia on December 23, 2025, together with the supplement to the prospectus submitted on January 16, 2026.
2. This decision to take effect upon acknowledgment of its receipt by “Renshin” LLC or “Ameriabank” CJSC, or on the day following its duly prescribed delivery to an authorized representative of “Renshin” LLC.
