On Registration of the Program Prospectus for Nominal Coupon Bonds of “UITE Expo” Limited Liability Company

 Whereas, on December 29, 2025, “UITE Expo” Limited Liability Company (hereinafter also referred to as the “Company”) submitted to the Central Bank of the Republic of Armenia an application for the registration of a program prospectus for nominal coupon bonds in a total amount of AMD 1,500,000,000 (one billion five hundred million Armenian drams), comprising 10,000 (ten thousand) bonds, together with the prospectus and all documents and supporting materials required for prospectus registration pursuant to the Republic of Armenia Law “On the Securities Market”, and Regulation 4/04 “Prospectus and Statements of Reporting Issuers” as approved by Resolution No. 68-N of the Board of the Central Bank of the Republic of Armenia dated March 11, 2008;

Whereas, on January 14, 2026, and January 20, 2026, the Company also submitted supplements to the prospectus;

Based on the foregoing, and

Pursuant to Article 2(3) of the Republic of Armenia Law “On the Central Bank of the Republic of Armenia”, Article 10 of the Republic of Armenia Law “On the Securities Market”, and the conclusion of the Licensing and Supervision Committee of the Central Bank of the Republic of Armenia (Minutes No. 5, dated January 21, 2026),

 

Decided:

 

  1. Register the program prospectus for nominal coupon bonds in a total amount of AMD 1,500,000,000 (one billion five hundred million Armenian drams), comprising 10,000 (ten thousand) bonds, submitted by “UITE Expo” LLC to the Central Bank of the Republic of Armenia on December 29, 2025, together with the supplements to the prospectus submitted on January 14, 2026, and January 20, 2026.
  2. This decision to take effect upon acknowledgment of its receipt by “UITE Expo” LLC or “Sirius Capital” CJSC, or on the day following its duly prescribed delivery to an authorized representative of “UITE Expo” LLC.
