GOVERNOR DECISION

 On Registration of Changes in the Composition of the Management of “New Venture Brokerage” Investment Firm Closed Joint-Stock Company

             In view of Article 18(4)(“g¹”) of the Republic of Armenia Law “On the Central Bank of the Republic of Armenia”; and Article 221(2) of the Republic of Armenia Law “On the Securities Market”; and Paragraph 20 and Paragraph 26(1) of Regulation 4/05 “Procedure for Qualification of Investment Service Provider, the Operator and the Central Depository Managers and Natural Persons as Investment Service Providers; Manager Professional Integrity Criteria and Manager Registration”, approved by Resolution No. 15-N of the Board of the Central Bank of the Republic of Armenia dated January 15, 2008; and

Considering the conclusion issued by the Licensing and Supervision Committee of the Central Bank of the Republic of Armenia (Minutes No. 2, dated January 14, 2026); and the letter of request, along with the required documents and supporting materials, submitted by “New Venture Brokerage” IF CJSC to the Central Bank of the Republic of Armenia on December 2, 2025 and December 29, 2025,

 Decided: 

1. Remove Hasmik Martirosyan from her registered role as Head of Internal Audit within “New Venture Brokerage” IF CJSC.
2. Register Karen Sahakyan into the role as Head of Internal Audit within “New Venture Brokerage” IF CJSC.
3. This decision to take effect upon acknowledgment of its receipt by “New Venture Brokerage” IF CJSC, or on the day following its duly prescribed delivery to an authorized representative of “New Venture Brokerage” IF CJSC.
