GOVERNOR DECISION

On Registration of the Program Prospectus for Nominal Coupon Bonds of “Metal Group” Limited Liability Company

 Whereas, on December 8, 2025, “Metal Group” Limited Liability Company (hereinafter also referred to as the “Company”) submitted to the Central Bank of the Republic of Armenia an application for the registration of a program prospectus for nominal coupon bonds with a face value of AMD 100,000 (one hundred thousand Armenian drams), in a total amount of AMD 2,000,000,000 (two billion Armenian drams), comprising 20,000 (twenty thousand) bonds, with a yield of 13% (thirteen percent) and a maturity period of 60 (sixty) months, together with the prospectus and all documents and supporting materials required for prospectus registration pursuant to the Republic of Armenia Law “On the Securities Market” and Regulation 4/04 “Prospectus and Statements of Reporting Issuers” as approved by Board Resolution No. 68-N, dated March 11, 2008, of the Central Bank of the Republic of Armenia;     

Whereas, on December 26, 2025, and January 9, 2026, the Company also submitted supplements to the prospectus to the Central Bank of the Republic of Armenia;

Based on the foregoing, and

Pursuant to Article 2(3) of the Republic of Armenia Law “On the Central Bank of the Republic of Armenia”, Article 10 of the Republic of Armenia Law “On the Securities Market”, and the conclusion of the Licensing and Supervision Committee of the Central Bank of the Republic of Armenia (Minutes No. 02, dated January 14, 2026),

 Decided:       

1. Register the program prospectus for nominal coupon bonds with a face value of AMD 100,000 (one hundred thousand Armenian drams), in a total amount of AMD 2,000,000,000 (two billion Armenian drams), comprising 20,000 (twenty thousand) bonds, with a yield of 13% (thirteen percent) and a maturity period of 60 (sixty) months, submitted by “Metal Group” LLC to the Central Bank of the Republic of Armenia on December 8, 2025, together with the supplements to the prospectus submitted on December 26, 2025, and January 9, 2026.
2. This decision to take effect upon acknowledgment of its receipt by “Metal Group” LLC or “Dimension” CJSC, or on the day following its duly prescribed delivery to an authorized representative of “Metal Group” LLC.
