On Registration of the Program Prospectus for Nominal Coupon Bonds of “Narsan” Limited Liability Company

 Whereas, on December 1, 2025, “Narsan” Limited Liability Company (hereinafter also referred to as the “Company”) submitted an application to the Central Bank of the Republic of Armenia for registration of a program prospectus for nominal, coupon bonds with a face value of AMD 100,000 (one hundred thousand Armenian drams), in a total volume amounting to AMD 1,500,000,000 (one billion five hundred million Armenian drams), comprising 15,000 (fifteen thousand) bonds, along with the respective prospectus and all the documents and deliverables, which is required for registration of the prospectus, in accordance with the Republic of Armenia Law “On the Securities Market”, and Regulation 4/04 “Prospectus and Statements of Reporting Issuers” as approved by Board Resolution No. 68-N, dated March 11, 2008, of the Central Bank of the Republic of Armenia;

Whereas, on December 23, 2025, the Company also submitted a supplement to the prospectus;

Based on the foregoing, and  

Pursuant to Article 2(3) of the Republic of Armenia Law “On the Central Bank of the Republic of Armenia”; and Article 10 of the Republic of Armenia Law “On the Securities Market”; and the conclusion issued by the Licensing and Supervision Committee of the Central Bank of the Republic of Armenia (Minutes No. 01, dated January 7, 2026),

 Decided:       

1. Register the program prospectus for nominal, coupon bonds with a face value of AMD 100,000 (one hundred thousand Armenian drams), in a total volume amounting to AMD 1,500,000,000 (one billion five hundred million Armenian drams), comprising 15,000 (fifteen thousand) units, submitted by “Narsan” LLC to the Central Bank of the Republic of Armenia on December 1, 2025 (with the supplement to the prospectus submitted on December 23, 2025).
2. This decision to enter into force upon being registered with “Narsan” LLC or “Dimension” CJSC, or on the day following its delivery, in the prescribed manner, to an authorized representative of “Narsan” LLC.
