GOVERNOR DECISION

On Registration of the Program Prospectus for Bonds of “Kamurj” Universal Credit Organization Closed Joint-Stock Company

Whereas, on December 1, 2025, “Kamurj” UCO CJSC submitted an application to the Central Bank of the Republic of Armenia for registration of a program prospectus for nominal, coupon bonds with a face value of AMD 50,000 (fifty thousand Armenian drams), in a total volume amounting to AMD 2,000,000,000 (two billion Armenian drams), comprising 40,000 (forty thousand) bonds, along with the prospectus and the documents and supporting materials, which is required for registration of the prospectus, in accordance with the Republic of Armenia Law “On the Securities Market”, and Regulation 4/04 “Prospectus and Statements of Reporting Issuers” as approved by Board Resolution No. 68-N, dated March 11, 2008, of the Central Bank of the Republic of Armenia;

Whereas, on December 26, 2025, “Kamurj” UCO CJSC also submitted a supplement to the prospectus;

Based on the foregoing, and

Pursuant to Article 2(3) of the Republic of Armenia Law “On the Central Bank of the Republic of Armenia”; and Article 10 of the Republic of Armenia Law “On the Securities Market”; and the conclusion issued by the Licensing and Supervision Committee of the Central Bank of the Republic of Armenia (Minutes No. 01, dated January 7, 2026),

 Decided: 

1. Register the program prospectus for nominal, coupon bonds submitted by “Kamurj” UCO CJSC to the Central Bank of the Republic of Armenia on December 1, 2025.
2. This decision to take effect upon acknowledgment of its receipt by “Kamurj” UCO CJSC, or on the day following its duly prescribed delivery to an authorized representative of “Kamurj” UCO CJSC.
