ON REGISTERING THE BOND PROGRAM PROSPECTUS OF “INTELLIGENT MANAGEMENT” LIMITED LIABILITY COMPANY

 On 31 October 2025, “INTELLIGENT MANAGEMENT” LLC (hereinafter also referred to as the Company) submitted to the Central Bank of the Republic of Armenia an application for registration of a bond program prospectus for nominal, coupon bonds with a maximum total volume equivalent to AMD 5,000,000,000 (five billion), with a nominal value of AMD 100,000 (one hundred thousand) and USD 100 (one hundred), as well as the relevant prospectus and all documents required for the registration of the prospectus under the Law of the Republic of Armenia “On Securities Market” and Regulation 4/04 “Prospectus and Reports of Reporting Issuers” approved by Decision No. 68N of the Board of the Central Bank of the Republic of Armenia dated 11 March 2008.

On 26 November 2025, “INTELLIGENT MANAGEMENT” LLC also submitted a supplement to the program prospectus.

Based on the above and pursuant to Part 3 of Article 2 of the Law of the Republic of Armenia “On the Central Bank of the Republic of Armenia”, Article 10 of the Law of the Republic of Armenia “On Securities Market”, and the conclusion of the Licensing and Supervision Committee of the Central Bank of the Republic of Armenia (Protocol No. 53 dated 3 December 2025):

 I  D E C I D E: 

  1. To register the bond program prospectus for nominal, coupon bonds submitted by “INTELLIGENT MANAGEMENT” LLC on 31 October 2025 (including the supplement submitted on 26 November 2025), with a total volume equivalent to AMD 5,000,000,000 (five billion), with a nominal value of AMD 100,000 (one hundred thousand) and USD 100 (one hundred).
  2. This Decision shall enter into force on the day following the date of its delivery to “INTELLIGENT MANAGEMENT” LLC, or its delivery to “Ameriabank” CJSC, or its delivery to the person authorized by “INTELLIGENT MANAGEMENT” LLC in accordance with the established procedure.
