 ON REGISTERING THE BOND PROGRAM PROSPECTUS OF “GLOBAL SHIPPING” LIMITED LIABILITY COMPANY 

On 23 October 2025, “GLOBAL SHIPPING” LLC submitted to the Central Bank of the Republic of Armenia an application for registration of a bond program prospectus for nominal, coupon bonds with a total volume of AMD 1,500,000,000 (one billion five hundred million) and USD 4,000,000 (four million), with a nominal value of AMD 50,000 (fifty thousand) and USD 100 (one hundred) respectively, as well as the relevant prospectus and all documents required for the registration of the prospectus under the Law of the Republic of Armenia “On Securities Market” and Regulation 4/04 “Prospectus and Reports of Reporting Issuers” approved by Decision No. 68N of the Board of the Central Bank of the Republic of Armenia dated 11 March 2008.

On 26 November 2025, “GLOBAL SHIPPING” LLC also submitted a supplement to the program prospectus.

Based on the above and pursuant to Part 3 of Article 2 of the Law of the Republic of Armenia “On the Central Bank of the Republic of Armenia”, Article 10 of the Law of the Republic of Armenia “On Securities Market” and the conclusion of the Licensing and Supervision Committee of the Central Bank of the Republic of Armenia (Protocol No. 53 dated 3 December 2025):

 I  D E C I D E: 

1. To register the bond program prospectus for nominal, coupon bonds submitted to the Central Bank of the Republic of Armenia by “GLOBAL SHIPPING” LLC on 23 October 2025 (including the supplement submitted on 26 November 2025), with a total volume of AMD 1,500,000,000 (one billion five hundred million) and USD 4,000,000 (four million), with a nominal value of AMD 50,000 (fifty thousand) and USD 100 (one hundred).
2. This Decision shall enter into force on the day following the date of its delivery to “GLOBAL SHIPPING” LLC, or its delivery to “Converse Bank” CJSC, or its delivery to the person authorized by “GLOBAL SHIPPING” LLC in accordance with the established procedure.
