ON REGISTERING THE BOND PROSPECTUS OF “ALFA-PHARM” CLOSED JOINT-STOCK COMPANY

On 4 November 2025, “ALFA-PHARM” Closed Joint-Stock Company submitted to the Central Bank of the Republic of Armenia an application for registration of a bond prospectus for nominal, coupon bonds with a total volume of AMD 1,500,000,000 (one billion five hundred million), comprising 15,000 units at a nominal value of AMD 100,000 (one hundred thousand), with a yield of 11.3% (eleven point three percent) and a maturity period of 36 (thirty-six) months, as well as the corresponding prospectus and all documents required for the registration of the prospectus under the Law of the Republic of Armenia “On Securities Market” and Regulation 4/04 “Prospectus and Reports of Reporting Issuers” approved by Decision No. 68N of the Board of the Central Bank of the Republic of Armenia dated 11 March 2008.

Based on the above and pursuant to Part 3 of Article 2 of the Law of the Republic of Armenia “On the Central Bank of the Republic of Armenia”, Article 10 of the Law of the Republic of Armenia “On Securities Market”, and taking into account the conclusion of the Licensing and Supervision Committee of the Central Bank of the Republic of Armenia (Protocol No. 52 dated 26 November 2025),

I  D E C I D E:

1. To register the bond program prospectus for nominal, coupon bonds with a total volume of AMD 1,500,000,000 (one billion five hundred million) at a nominal value of AMD 100,000 (one hundred thousand) and/or USD 100 (one hundred) submitted to the Central Bank of the Republic of Armenia by “ALFA-PHARM” Closed Joint-Stock Company on 4 November 2025.
2. This Decision shall enter into force on the day following the date of its delivery to “ALFA-PHARM” Closed Joint-Stock Company or “AMERIABANK” Closed Joint-Stock Company, or its delivery to the person authorized by “ALFA-PHARM” Closed Joint-Stock Company in accordance with the established procedure.
