ON REGISTERING THE BOND PROGRAM PROSPECTUS OF “AGROTECH” LIMITED LIABILITY COMPANY

 

On 21 October 2025, “AGROTECH” Limited Liability Company submitted to the Central Bank of the Republic of Armenia an application for registration of a bond program prospectus for nominal, coupon bonds with a total volume of AMD 1,000,000,000 (one billion) at a nominal value of AMD 100,000 (one hundred thousand) and/or USD 100 (one hundred), as well as the corresponding prospectus and all documents required for the registration of the prospectus under the Law of the Republic of Armenia “On Securities Market” and Regulation 4/04 “Prospectus and Reports of Reporting Issuers” approved by Decision No. 68N of the Board of the Central Bank of the Republic of Armenia dated 11 March 2008.

On 17 November 2025, “AGROTECH” Limited Liability Company also submitted a supplement to the program prospectus.

Based on the above and pursuant to Part 3 of Article 2 of the Law of the Republic of Armenia “On the Central Bank of the Republic of Armenia”, Article 10 of the Law of the Republic of Armenia “On Securities Market”, and taking into account the conclusion of the Licensing and Supervision Committee of the Central Bank of the Republic of Armenia (Protocol No. 52 dated 26 November 2025),

 I  D E C I D E: 

  1. To register the bond program prospectus for nominal, coupon bonds with a total volume of AMD 1,000,000,000 (one billion) at a nominal value of AMD 100,000 (one hundred thousand) and/or USD 100 (one hundred) submitted to the Central Bank of the Republic of Armenia by “AGROTECH” Limited Liability Company on 21 October 2025 (including the supplement submitted on 17 November 2025).
  2. This Decision shall enter into force on the day following the date of its delivery to “AGROTECH” Limited Liability Company or “CUBE INVEST” Closed Joint-Stock Company, or its delivery to the person authorized by “AGROTECH” Limited Liability Company in accordance with the established procedure.
