ON REGISTERING THE BOND PROGRAM PROSPECTUS OF NOMINAL COUPON PERPETUAL BONDS OF “UNIBANK” OPEN JOINT-STOCK COMPANY

 On 29 October 2025, “UNIBANK” Open Joint-Stock Company (hereinafter also, the Bank) submitted to the Central Bank of the Republic of Armenia an application for registration of a bond program prospectus for nominal, coupon, perpetual bonds with a total volume of AMD 50,000,000,000 (fifty billion) at a nominal value of AMD 10,000 (ten thousand) and a total volume of USD 100,000,000 (one hundred million) at a nominal value of USD 100 (one hundred), as well as the corresponding prospectus and all documents required for the registration of the prospectus under the Law of the Republic of Armenia “On Securities Market” and Regulation 4/04 “Prospectus and Reports of Reporting Issuers” approved by Decision No. 68N of the Board of the Central Bank of the Republic of Armenia dated 11 March 2008.

On 20 and 25 November 2025, “UNIBANK” Open Joint-Stock Company also submitted a supplement to the prospectus.

Based on the foregoing and pursuant to Part 3 of Article 2 of the Law of the Republic of Armenia “On the Central Bank of the Republic of Armenia”, Article 10 of the Law of the Republic of Armenia “On Securities Market”, and the conclusion of the Licensing and Supervision Committee of the Central Bank of the Republic of Armenia (Protocol No. 52 dated 26 November 2025),

 I  D E C I D E: 

  1. To register the bond program prospectus for nominal, coupon, perpetual bonds submitted to the Central Bank of the Republic of Armenia by “UNIBANK” Open Joint-Stock Company on 29 October 2025 (including the supplement submitted on 20 and 25 November 2025).
  2. This Decision shall enter into force on the day following the date of its delivery to “UNIBANK” Open Joint-Stock Company, or its delivery to the person authorized by “UNIBANK” Open Joint-Stock Company in accordance with the established procedure.
