 ON REGISTERING THE PROGRAM PROSPECTUS OF “TEAM HOLDING” CLOSED JOINT-STOCK COMPANY BONDS 

On 5 November 2025, “TEAM HOLDING” Closed Joint-Stock Company (hereinafter also, the Company) submitted to the Central Bank of the Republic of Armenia an application for registration of a program prospectus for nominal coupon bonds with a total volume of AMD 1,400,000,000 (one billion four hundred million) with a nominal value of AMD 100,000 (one hundred thousand), and a total volume of USD 31,500,000 (thirty-one million five hundred thousand) USD with a nominal value of 100 (one hundred), as well as the corresponding prospectus and all documents required for the registration of the prospectus under the Law of the Republic of Armenia “On Securities Market” and Regulation 4/04 “On Prospectus and Reports of Reporting Issuers” approved by Decision No. 68N of the Board of the Central Bank of the Republic of Armenia dated 11 March 2008.

On 17 November 2025, “TEAM HOLDING” Closed Joint-Stock Company also submitted a supplement to the program prospectus.

Based on the above and pursuant to Part 3 of Article 2 of the Law of the Republic of Armenia “On the Central Bank of the Republic of Armenia”, Article 10 of the Law of the Republic of Armenia “On Securities Market” and the conclusion of the Licensing and Supervision Committee of the Central Bank of the Republic of Armenia (Protocol No. 51 dated 19 November 2025),

 I  D E C I D E: 

1. To register the program prospectus of nominal coupon bonds submitted by “TEAM HOLDING” Closed Joint-Stock Company on 5 November 2025 (including the supplement submitted on 17 November) with a total volume of AMD 1,400,000,000 (one billion four hundred million) and a nominal value of AMD 100,000 (one hundred thousand), and a total volume of USD 31,500,000 (thirty-one million five hundred thousand) and a nominal value of USD 100 (one hundred).
2. This Decision shall enter into force on the day following the date of its delivery to “TEAM HOLDING” Closed Joint-Stock Company or “FREEDOM FINANCE ARMENIA” Limited Liability Company, or its delivery to the person authorized by “TEAM HOLDING” Closed Joint-Stock Company in accordance with the established procedure.
