 ON REGISTERING THE BOND PROGRAM PROSPECTUS OF “DALAN TECHNOLOGIES” LIMITED LIABILITY COMPANY

 On 8 September 2025, “DALAN TECHNOLOGIES” LLC submitted to the Central Bank of the Republic of Armenia an application for the registration of a bond program prospectus for registered coupon bonds with a total volume of AMD 12,000,000,000 (twelve billion), a nominal value of AMD 100,000 (one hundred thousand) and USD 100 (one hundred), as well as the relevant prospectus and all documents required for the registration of the prospectus by the Law of the Republic of Armenia “On the Securities Market” and Regulation 4/04 “Prospectus and Reports of Reporting Issuers” approved by Decision No. 68N of the Board of the Central Bank of the Republic of Armenia dated 11 March 2008.

On 29 September 2025, “DALAN TECHNOLOGIES” LLC also submitted a supplement to the bond program prospectus.

Based on the above and pursuant to Part 3 of Article 2 of the Law of the Republic of Armenia “On the Central Bank of the Republic of Armenia”, Article 10 of the Law of the Republic of Armenia “On the Securities Market”, and the conclusion of the Licensing and Supervision Committee of the Central Bank of the Republic of Armenia (Protocol No. 44 dated 8 October 2025),

 I  D E C I D E: 

  1. To register the bond program prospectus for registered coupon bonds submitted by “DALAN TECHNOLOGIES” LLC to the Central Bank of the Republic of Armenia on 8 September 2025 (including the supplement submitted on 29 September 2025), with a total volume of AMD 12,000,000,000 (twelve billion), and a nominal value of AMD 100,000 (one hundred thousand) and USD 100 (one hundred).
  2. This Decision shall enter into force on the day following the date of its delivery to “DALAN TECHNOLOGIES” LLC, or its delivery to “CUBE INVEST” CJSC, or its delivery to the person authorized by “DALAN TECHNOLOGIES” LLC in accordance with the established procedure.
