On the Registration of the Prospectus of Preferred Shares of “Unibank” OJSC

On 26 June 2025 and 2 July 2025, “Unibank” OJSC submitted to the Central Bank of the Republic of Armenia an application for the registration of the prospectus of 3,846,154 uncertificated, registered, convertible preferred shares of Class G, with a nominal value of AMD 390 each, bearing an annual fixed dividend of 12%, as well as the respective prospectus and all documents required for the registration of the prospectus under the Republic of Armenia Law “On the Securities Market” and Regulation 4/04 “Prospectus and Reporting Issuers’ Reports” approved under Decision No. 68-N of the Board of the Central Bank of the Republic of Armenia dated 11 March 2008.

On 29 July 2024 and 1 August 2024, “Unibank” OJSC also submitted amendments to the prospectus.

Based on the above and pursuant to Part 3 of Article 2 of the Republic of Armenia Law “On the Central Bank of the Republic of Armenia”, Article 10 of the Republic of Armenia Law “On the Securities Market”, and taking into account the opinion of the Licensing and Supervision Committee of the Central Bank of the Republic of Armenia (Protocol No. 35 of 06.08.2025),

I decide:

1. To register the prospectus of 3,846,154 uncertificated, registered, convertible preferred shares of Class G of “Unibank” OJSC, with a nominal value of AMD 390 each, bearing an annual fixed dividend of 12%.
2. This decision shall enter into force on the day following the date it is entered into “Unibank” OJSC or delivered to the duly authorized person of “Unibank” OJSC in accordance with the established procedure.
