 GOVERNOR DECISION

 Registering the Program Prospectus for Bonds of “Agricultural Cooperative Bank of Armenia – ACBA Bank”, an Open Joint-Stock Company

 Whereas on July 8, 2025 “Agricultural Cooperative Bank of Armenia – ACBA Bank”, an Open Joint-Stock Company, submitted an application to the Central Bank of the Republic of Armenia for registering a program prospectus for nominal, coupon bonds with a face value of AMD 100,000 (one hundred thousand Armenian drams), with a maximum total volume of AMD 30,000,000,000 (thirty billion Armenian drams) and with a face value of USD 100 (one hundred United States dollars), with a maximum total volume of USD 30,000,000 (thirty million United States dollars), along with the respective prospectus and all the documentation and deliverables, which is required in applying for registration of the prospectus in accordance with the Republic of Armenia Law “On the Securities Market” and Regulation 4/04 “Prospectus and Statements of Reporting Issuers” as approved under the Republic of Armenia Central Bank Board Resolution No. 68-N, dated March 11, 2008;

By virtue of what is stated above;

 Pursuant to Article 2 (3) of the Republic of Armenia Law “On the Central Bank of the Republic of Armenia”; and Article 10 of the Republic of Armenia Law “On the Securities Market”; and

Considering the conclusion issued by the Licensing and Supervision Committee of the Central Bank of the Republic of Armenia (Minutes No. 34, dated July 30, 2025),

 We decide:        

1. Register the Program Prospectus for nominal, coupon bonds as presented by “Agricultural Cooperative Bank of Armenia – ACBA Bank” Open Joint-Stock Company on July 8, 2025.
2. This decision to enter into force upon being registered with “Agricultural Cooperative Bank of Armenia – ACBA Bank” Open Joint-Stock Company or on the day following its delivery, in the prescribed manner, to an authorized representative of “Agricultural Cooperative Bank of Armenia – ACBA Bank” Open Joint-Stock Company.
