 GOVERNOR DECISION

 July 16, 2025 No. 1/237 A

 Registering the Program Prospectus for Nominal Coupon Bonds of “Hska”, a Closed Joint-Stock Company

 Whereas on May 23, 2025 “Hska”, a Closed Joint-Stock Company, submitted an application to the Central Bank of the Republic of Armenia for registration of a program prospectus for nominal, coupon bonds with a face value of AMD 100,000 (one hundred thousand Armenian drams), with a total volume amounting to AMD 3,000,000,000 (three billion Armenian drams) and with a face value of USD 100 (one hundred United States dollars), with a total volume amounting to USD 5,000,000 (five million United States dollars), along with the respective prospectus and all the documents and deliverables, which is required for registration of the prospectus in accordance with the Republic of Armenia Law “On the Securities Market” and Regulation 4/04 “Prospectus and Statements of Reporting Issuers” as approved under the Republic of Armenia Central Bank Board Resolution No. 68-N, dated March 11, 2008;

Whereas on June 19, 2025, July 7, 2025 and July 14, 2025 “Hska”, a Closed Joint-Stock Company, submitted to the Central Bank of the Republic of Armenia a supplement to the prospectus as well;

By virtue of what is stated above; and

Pursuant to Article 2 (3) of the Republic of Armenia Law “On the Central Bank of the Republic of Armenia”; and Article 10 of the Republic of Armenia Law “On the Securities Market”; and the conclusion issued by the Licensing and Supervision Committee of the Central Bank of the Republic of Armenia (Minutes No. 32, dated July 16, 2025),

 We decide:    

1. Register the Program Prospectus for nominal, coupon bonds with a face value of AMD 100,000 (one hundred thousand Armenian drams), with a total volume amounting to AMD 3,000,000,000 (three billion Armenian drams) and with a face value of USD 100 (one hundred United States dollars), with a total volume amounting to USD 5,000,000 (five million United States dollars), submitted by “Hska” Closed Joint-Stock Company on May 23, 2025 (with supplements submitted on June 19, 2025, July 7, 2025 and July 14, 2025) to the Central Bank of the Republic of Armenia.
2. This decision to enter into force upon being registered with “Hska” Closed Joint-Stock Company or “Armbrok” Open Joint-Stock Company (Investment Company), or on the day following its delivery, in the prescribed manner, to an authorized representative of “Hska” Closed Joint-Stock Company.
