 GOVERNOR DECISION

 Registering the Supplement to the Program Prospectus for Bonds of “Nout.am”, a Limited Liability Company

Whereas “Nout.am”, a Limited Liability Company, and “Dimension”, a Closed Joint-Stock Company, submitted an application to the Central Bank of the Republic of Armenia on June 5, 2025 and on June 9, 2025, respectively, for registration of a supplement to the Program Prospectus for nominal, coupon bonds, issued by “Nout.am” LLC and registered under the Central Bank of the Republic of Armenia Governor Decision No. 1/42A, dated February 12, 2025, and all the documentation and deliverables, which is required for registration of the prospectus in accordance with the Republic of Armenia Law “On the Securities Market” and Regulation 4/04 “Prospectus and Statements of Reporting Issuers” as approved under the Republic of Armenia Central Bank Board Resolution No. 68-N, dated March 11, 2008;

By virtue of what is written above; and

Pursuant to Article 2 (3) of the Republic of Armenia Law “On the Central Bank of the Republic of Armenia”, and Article 14 of the Republic of Armenia Law “On the Securities Market”,

 We decide: 

1. Register the Supplement to the Program Prospectus as submitted by “Nout.am” Limited Liability Company for nominal, coupon bonds and registered under the Central Bank of the Republic of Armenia Governor Decision No. 1/42A, dated February 12, 2025.
2. This decision to enter into force upon being registered with “am” Limited Liability Company or on the day following its delivery, in the prescribed manner, to an authorized representative of “Nout.am” Limited Liability Company or on the day following its delivery to “Dimension” Closed Joint-Stock Company.
