 GOVERNOR DECISION

 June 3, 2025 No. 1/176 A

 Registering the Supplement to the Program Prospectus for Bonds Issued by “Ameriabank”, a Closed Joint-Stock Company

 Whereas on May 27, 2025 “Ameriabank”, a Closed Joint-Stock Company, submitted an application to the Central Bank of the Republic of Armenia for registering a supplement to the program prospectus for coupon bonds so registered under the Republic of Armenia Central Bank Governor Decision No. 1/60A, dated February 26, 2025, along with all the documentation and deliverables, which is required for registration of a prospectus in accordance with the Republic of Armenia Law “On the Securities Market” and Regulation 4/04 “Prospectus and Statements of Reporting Issuers” as approved under the Republic of Armenia Central Bank Board Resolution No. 68-N, dated March 11, 2008;

By virtue of what is stated above; and

Pursuant to Article 2 (3) of the Republic of Armenia Law “On the Central Bank of the Republic of Armenia”, and Article 14 of the Republic of Armenia Law “On the Securities Market”,

 We decide: 

1. Register the Supplement to the Program Prospectus as provided by “Ameriabank” Closed Joint-Stock Company for coupon bonds and registered under the Republic of Armenia Central Bank Governor Decision No. 1/60A, dated February 26, 2025.
2. This decision to enter into force upon being registered with “Ameriabank” Closed Joint-Stock Company or on the day following its delivery, in the prescribed manner, to an authorized representative of “Ameriabank” Closed Joint-Stock Company.
