 Registering the Program Prospectus for Bonds of “Inecobank”, a Closed Joint-Stock Company

 Whereas on April 25, 2025 “Inecobank”, a Closed Joint-Stock Company, submitted an application to the Central Bank of the Republic of Armenia for registering a program prospectus for nominal, non-documentary, coupon bonds with a face value of AMD 10,000 (ten thousand Armenian drams) with a total maximum volume of AMD 15,000,000,000 (fifteen billion Armenian drams), and with a face value of USD 100 (one hundred United States dollars) with a total maximum volume of USD 30,000,000 (thirty million United States dollars), and with a face value of EUR 100 (one hundred European Union currency) with a total maximum volume of USD 20,000,000 (twenty million European Union currency), along with the respective prospectus and all the documentation and deliverables, which is required for registration of the prospectus in accordance with the Republic of Armenia Law “On the Securities Market” and Regulation 4/04 “Prospectus and Statements of Reporting Issuers” as approved under the Republic of Armenia Central Bank Board Resolution No. 68-N, dated March 11, 2008;

Whereas on May 14, 2025 “Inecobank”, a Closed Joint-Stock Company, presented a supplement to the program prospectus as well;

By virtue of what is written above;

Pursuant to Article 2 (3) of the Republic of Armenia Law “On the Central Bank of the Republic of Armenia”, and Article 10 of the Republic of Armenia Law “On the Securities Market”; and

Considering the conclusion issued by the Licensing and Supervision Committee of the Central Bank of the Republic of Armenia (Minutes No. 23, dated May 21, 2025),

 We decide:    

  1. Register the Program Prospectus for nominal, non-documentary, coupon bonds as presented by “Inecobank” Closed Joint-Stock Company to the Central Bank of the Republic of Armenia on April 25, 2025 (with the Supplement submitted on May 14, 2025).
  2. This decision to enter into force upon being registered with “Inecobank” Closed Joint-Stock Company or on the day following its delivery, in the prescribed manner, to an authorized representative of “Inecobank” Closed Joint-Stock Company.
