 GOVERNOR DECISION

 April 18, 2025 No. 1/129 A

 Registering the Branch Offices of “Ardshininvestbank”, a Closed Joint-Stock Company, as Branch Offices of “Ardshinbank”, a Closed Joint-Stock Company; and Registering the “Paronyan” Branch Office of “Ardshinbank”, a Closed Joint-Stock Company

  In view of Article 18 (4) (“g1”) of the Republic of Armenia Law “On the Central Bank of the Republic of Armenia”, and Article 28 (1) and (4) of the Republic of Armenia Law “On Banks and Banking”, and the Merger Agreement between “Ardshininvestbank”, a Closed Joint-Stock Company, and “Ardshinbank”, a Closed Joint-Stock Company;

Considering the conclusion issued by the Licensing and Supervision Committee of the Central Bank of the Republic of Armenia (Minutes No. 18, dated April 18, 2025); and

Having examined the letters of request, dated April 14, 2025 and April 15, 2025, along with the documentation and deliverables, which “Ardshininvestbank”, a Closed Joint-Stock Company, and “Ardshinbank”, a Closed Joint-Stock Company, submitted to the Central Bank of the Republic of Armenia,

 We decide: 

  1. Register the “Republic Square” Branch Office of “Ardshininvestbank” Closed Joint-Stock Company as the “Republic Square” Branch Office of “Ardshinbank” Closed Joint-Stock Company.
  2. Register the “Teryan” Branch Office of “Ardshininvestbank” Closed Joint-Stock Company as the “Teryan” Branch Office of “Ardshinbank” Closed Joint-Stock Company.
  3. Register the “Garegin Nzhdeh” Branch Office of “Ardshininvestbank” Closed Joint-Stock Company as the “Garegin Nzhdeh” Branch Office of “Ardshinbank” Closed Joint-Stock Company.
  4. Register the “Dalma” Branch Office of “Ardshininvestbank” Closed Joint-Stock Company as the “Dalma” Branch Office of “Ardshinbank” Closed Joint-Stock Company.
  5. Register the “Komitas” Branch Office of “Ardshininvestbank” Closed Joint-Stock Company as the “Gyulbenkyan” Branch Office of “Ardshinbank” Closed Joint-Stock Company.
  6. Register the “Paronyan” Branch Office of “Ardshinbank” Closed Joint-Stock Company.
  7. This decision to enter into force upon a proper notification to “Ardshinbank” Closed Joint-Stock Company.
