 GOVERNOR DECISION

 April 18, 2025 Np. 1/128 A

 Registering the Act of Transfer with the Involvement of “Ardshininvestbank”, a Closed Joint-Stock Company, and “Ardshinbank”, a Closed Joint-Stock Company; and Registering the Termination of the Activities of “Ardshininvestbank”, a Closed Joint-Stock Company

 

 In view of Article 18 (4) (“g1”) of the Republic of Armenia Law “On the Central Bank of the Republic of Armenia”, and Article 69 of the Republic of Armenia Law “On Banks and Banking”, and Clause 8 and Clause 9 of the “Procedure on Merger of Banks” as approved by the Republic of Armenia Central Bank Board Resolution No. 190-N, dated July 19, 2011, and the Merger Agreement between “Ardshininvestbank”, a Closed Joint-Stock Company, and “Ardshinbank”, a Closed Joint-Stock Company;

Considering the conclusion issued by the Licensing and Supervision Committee of the Central Bank of the Republic of Armenia (Minutes No. 18, dated April 18, 2025); and

Having examined the letters of request, dated April 14, 2025 and April 15, 2025, along with the documentation and deliverables, which “Ardshininvestbank”, a Closed Joint-Stock Company, and “Ardshinbank”, a Closed Joint-Stock Company, submitted to the Central Bank of the Republic of Armenia, 

We decide: 

  1. Register the Act of Transfer with the involvement of “Ardshininvestbank” Closed Joint-Stock Company and “Ardshinbank” Closed Joint-Stock Company.
  2. Make an entry in the Banks Register with regard to the termination of the activities of Ardshininvestbank Closed Joint-Stock Company.
  3. This decision to enter into force upon a proper notification to “Ardshinbank” Closed Joint-Stock Company.
