 GOVERNOR DECISION

 March 19, 2025  No. 1/87 A

 Registering the Program Prospectus for Nominal Coupon Bonds of “Natali Farm” a Limited Liability Company

Whereas on March 10, 2025 “Natali Farm”, a Limited Liability Company, submitted an application to the Central Bank of the Republic of Armenia for registration of a program prospectus for nominal, coupon, non-documentary bonds with a face value of AMD 10,000 (ten thousand Armenian drams), with a total volume of AMD 7,000,000,000 (seven billion Armenian drams), along with the respective prospectus and all the documentation and deliverables, which is required for registration of the prospectus in accordance with the Republic of Armenia Law “On the Securities Market” and Regulation 4/04 “Prospectus and Statements of Reporting Issuers” as approved under the Republic of Armenia Central Bank Board Resolution No. 68-N, dated March 11, 2008;

By virtue of what is written above; and

Considering Article 2 (3) of the Republic of Armenia Law “On the Central Bank of the Republic of Armenia”, Article 10 of the Republic of Armenia Law “On the Securities Market”, as well as the conclusion issued by the Licensing and Supervision Committee of the Central Bank of the Republic of Armenia (Minutes No. 13, dated March 19, 2025),

 We decide: 

1. Register the Program Prospectus for nominal, coupon, non-documentary bonds with a face value of AMD 10,000 (ten thousand Armenian drams), with a total volume of AMD 7,000,000,000 (seven billion Armenian drams), which “Natali Farm” Limited Liability Company submitted to the Central Bank of the Republic of Armenia on March 10, 2025.
2. This decision to enter into force on the day following its signing.
