 Registering the Program Prospectus for Nominal Coupon Bonds of “Ameriabank”, a Closed Joint-Stock Company

 

 Whereas on February 11, 2025 “Ameriabank”, a Closed Joint-Stock Company, submitted an application to the Central Bank of the Republic of Armenia for registration of a program prospectus for nominal, coupon bonds with a total volume of AMD 80,000,000,000 (eighty billion Armenian drams), of which AMD 45,000,000,000 (forty-five billion Armenian drams) in local currency, and the remaining AMD 35,000,000,000 (thirty-five billion Armenian drams) in foreign currency (United States dollar and/or European Union currency, the euro), along with the respective prospectus and all documentation and deliverables, which is required for registration of the prospectus in accordance with the Republic of Armenia Law “On the Securities Market” and Regulation 4/04 “Prospectus and Statements of Reporting Issuers” as approved under the Republic of Armenia Central Bank Board Resolution No. 68-N, dated March 11, 2008;

By virtue of what is written above; and

Pursuant to Article 2 (3) of the Republic of Armenia Law “On the Central Bank of the Republic of Armenia”, Article 10 of the Republic of Armenia Law “On the Securities Market”, and the conclusion issued by the Licensing and Supervision Committee of the Central Bank of the Republic of Armenia (Minutes No. 9, dated February 26, 2025),

 We decide: 

  1. Register the Program Prospectus for nominal, coupon bonds with a total volume of AMD 80,000,000,000 (eighty billion Armenian drams), of which AMD 45,000,000,000 (forty-five billion Armenian drams) in local currency, and the remaining AMD 35,000,000,000 (thirty-five billion Armenian drams) in foreign currency (United States dollar and/or European Union currency, the euro), which “Ameriabank” Closed Joint-Stock Company submitted to the Central Bank of the Republic of Armenia on February 11, 2025.
  2. This decision to enter into force upon being registered with “Ameriabank” Closed Joint-Stock Company or on the day following its delivery to an authorized representative of “Ameriabank” Closed Joint-Stock Company, in the prescribed manner.
