GOVERNOR DECISION

Registering the Prospectus for Ordinary Shares of “UniBank”, an Open Joint-Stock Company

  Whereas on December 12, 2024 “UniBank”, an Open Joint-Stock Company, submitted an application to the Central Bank of the Republic of Armenia for registration of a prospectus for 10,000,000 pieces of non-documentary, ordinary shares with a face value of AMD 100 (one hundred Armenian drams), along with the respective prospectus and all documents and deliverables, which is required for registration of the prospectus in accordance with the Republic of Armenia Law “On the Securities Market” and Regulation 4/04 “Prospectus and Statements of Reporting Issuers” as approved under the Republic of Armenia Central Bank Board Resolution No. 68-N, dated March 11, 2008; Whereas on December 30, 2024 and on January 14, January 23, January 24, 2025 “UniBank”, an Open Joint-Stock Company, submitted to the Central Bank of the Republic of Armenia supplements to the prospectus as well; By virtue of what is written above; and Considering Article 2 (3) of the Republic of Armenia Law “On the Central Bank of the Republic of Armenia”, Article 10 of the Republic of Armenia Law “On the Securities Market”, and the conclusion issued by the Licensing and Supervision Committee of the Central Bank of the Republic of Armenia (Minutes No. 4, dated January 29, 2025),  

          We decide: 

1. Register the Prospectus for 10,000,000 pieces of non-documentary, ordinary shares with a face value of AMD 100 (one hundred Armenian drams) as presented by “UniBank”, an Open Joint-Stock Company (along with supplements to the Prospectus submitted to the Central Bank of the Republic of Armenia on December 30, 2024 and on January 14, January 23, January 24, 2025).
2. This decision to enter into force on the day following its signing.
