Registering the Program Prospectus of Bonds of “Viva Armenia”, a Closed Joint-Stock Company

  

Whereas on November 28, 2024 “Viva Armenia”, a Closed Joint-Stock Company, submitted an application to the Central Bank of the Republic of Armenia for registration of a prospectus for nominal, coupon bonds with a face value of USD 100 (one hundred United States dollars), with a total volume of USD 80,000,000 (eighty million United States dollars), with an annual coupon yield of 7.55%, a coupon payment frequency: semi-annually, a circulation period: 3 (three) years, along with the respective prospectus and all documents and deliverables, which is required for registration of the prospectus in accordance with the Republic of Armenia Law “On the Securities Market” and Regulation 4/04 “Prospectus and Statements of Reporting Issuers” as approved under the Republic of Armenia Central Bank Board Resolution No. 68-N, dated March 11, 2008; Whereas on December 23, 2025 “Viva Armenia”, a Closed Joint-Stock Company, submitted to the Central Bank of the Republic of Armenia a supplement to the prospectus as well; By virtue of what is written above; and Considering Article 2 (3) of the Republic of Armenia Law “On the Central Bank of the Republic of Armenia”, Article 10 of the Republic of Armenia Law “On the Securities Market”, and the conclusion issued by the Licensing and Supervision Committee of the Central Bank of the Republic of Armenia (Minutes No. 3, dated January 22, 2025), 

          We decide: 

  1. Register the Prospectus for nominal, coupon bonds with a face value of USD 100 (one hundred United States dollars), with a total volume of USD 80,000,000 (eighty million United States dollars), with an annual coupon yield of 7.55%, a coupon payment frequency: semi-annually, a circulation period: 3 (three) years, submitted by “Viva Armenia”, a Closed Joint-Stock Company, on November 28, 2024 (with a supplement submitted on December 23, 2025) to the Central Bank of the Republic of Armenia.
  2. This decision to enter into force on the day following its signing.
