On Registration of the Program Prospectus for Nominal Non-Convertible Coupon Bonds of “Byblos Bank Armenia” Closed Joint-Stock Company

Whereas, on August 6, 2026, “Byblos Bank Armenia” Closed Joint-Stock Company applied to the Central Bank of the Republic of Armenia for the registration of a program prospectus for nominal non-convertible coupon bonds with a face value of AMD 100,000 (one hundred thousand Armenian drams), in an aggregate amount of AMD 5,000,000,000 (five billion Armenian drams), and with a face value of USD 100 (one hundred United States dollars), in an aggregate amount of 20,000,000 (twenty million United States dollars), together with the prospectus and all documents and supporting materials required for prospectus registration pursuant to the Republic of Armenia Law “On the Securities Market”, and Regulation 4/04 “Prospectus and Statements of Reporting Issuers” as approved by Board Resolution No. 68-N, dated March 11, 2008, of the Central Bank of the Republic of Armenia;
Whereas, on August 13, 2026, and September 4, 2026 “Byblos Bank Armenia” CJSC also submitted a supplement to the prospectus;
Based on the foregoing, and
Pursuant to Article 2(3) of the Republic of Armenia Law “On the Central Bank of the Republic of Armenia”; and Article 10 of the Republic of Armenia Law “On the Securities Market”; and the conclusion issued by the Licensing and Supervision Committee of the Central Bank of the Republic of Armenia (Minutes No. 43, dated September 11, 2026),

Decided:

1. Register the program prospectus for nominal non-convertible coupon bonds, which “Byblos Bank Armenia” CJSC submitted to the Central Bank of the Republic of Armenia on August 6, 2026, together with the supplement to the prospectus submitted on August 13, 2026, and September 4, 2026.
2. This decision to take effect upon acknowledgment of its receipt by “Byblos Bank Armenia” CJSC, or on the day following its duly prescribed delivery to an authorized representative of “Byblos Bank Armenia” CJSC.
