On Registration of the Program Prospectus for Nominal Coupon Bonds of “New Age Construction” Limited Liability Company

Whereas, on April 17, 2026, “New Age Construction” Limited Liability Company submitted to the Central Bank of the Republic of Armenia an application for the registration of a program prospectus for nominal coupon bonds with a face value of AMD 100,000 (one hundred thousand Armenian drams), in an amount of up to AMD 1,000,000,000 (one billion Armenian drams), and with a face value of USD 100 (one hundred United States dollars), in an amount of up to USD 4,000,000 (four million United States dollars), together with the prospectus and all documents and supporting materials required for prospectus registration pursuant to the Republic of Armenia Law “On the Securities Market”, and Regulation 4/04 “Prospectus and Statements of Reporting Issuers” as approved by Board Resolution No. 68-N, dated March 11, 2008, of the Central Bank of the Republic of Armenia;
Whereas, on May 11, 2026, “New Age Construction” Limited Liability Company also submitted a supplement to the program prospectus;
Based on the foregoing, and
Pursuant to Article 2(3) of the Republic of Armenia Law “On the Central Bank of the Republic of Armenia”, and Article 10 of the Republic of Armenia Law “On the Securities Market”, and the conclusion issued by the Licensing and Supervision Committee of the Central Bank of the Republic of Armenia (Minutes No. 25, dated May 20, 2026),

Decided:

1. Register the program prospectus for nominal coupon bonds with a face value of AMD 100,000 (one hundred thousand Armenian drams), in an amount of up to AMD 1,000,000,000 (one billion Armenian drams), and with a face value of USD 100 (one hundred United States dollars), in an amount of up to USD 4,000,000 (four million United States dollars), submitted by “New Age Construction” LLC on April 17, 2026, together with the supplement to the program prospectus submitted on May 11, 2026.
2. This decision to take effect upon acknowledgment of its receipt by “New Age Construction” LLC, or on the day following its duly prescribed delivery to an authorized representative of “New Age Construction” LLC.
