On Registration of the Prospectus for Ordinary Shares of “Unibank” Open Joint-Stock Company

Whereas, on April 9, 2026, “Unibank” Open Joint-Stock Company submitted to the Central Bank of the Republic of Armenia an application for the registration of a prospectus for nominal non-documentary ordinary shares with a face value of AMD 100 (one hundred Armenian drams), comprising 10,000,000 (ten million) shares, together with the prospectus and all documents and supporting materials required for prospectus registration pursuant to the Republic of Armenia Law “On the Securities Market”, and Regulation 4/04 “Prospectus and Statements of Reporting Issuers” as approved by Board Resolution No. 68-N, dated March 11, 2008, of the Central Bank of the Republic of Armenia;
Whereas, on May 7, 2026, “Unibank” Open Joint-Stock Company also submitted a supplement to the prospectus;
Based on the foregoing, and
Pursuant to Article 2(3) of the Republic of Armenia Law “On the Central Bank of the Republic of Armenia”; and Article 10 of the Republic of Armenia Law “On the Securities Market”; and the conclusion issued by the Licensing and Supervision Committee of the Central Bank of the Republic of Armenia (Minutes No. 24, dated May 13, 2026),

Decided:

1. Register the prospectus for nominal non-documentary ordinary shares with a face value of AMD 100 (one hundred Armenian drams), comprising 10,000,000 (ten million) shares, which “Unibank” Open Joint-Stock Company submitted to the Central Bank of the Republic of Armenia on April 9, 2026, together with the supplement to the prospectus submitted on May 7, 2026.
2. This decision to take effect upon acknowledgment of its receipt by “Unibank” OJSC, or on the day following its duly prescribed delivery to an authorized representative of “Unibank” OJSC.
