BOARD RESOLUTION

 July 29, 2025; No 122 A

 Registering the Changes to the Rules of “MGM Rise” Non-Public, Contractual Investment Fund, a Closed Joint-Stock Company

Pursuant to Article 2 (3) and Article 20 (“ki”) of the Republic of Armenia Law “On the Central Bank of the Republic of Armenia”; and Article 24 (4) of the Republic of Armenia Law “On Investment Funds”;

Whereas on June 23, 2025 “MGM Rise” Non-Public, Contractual Investment Fund, a Closed Joint-Stock Company, applied to the Central Bank of the Republic of Armenia with a request to register the changes to the Rules of “MGM Rise” Non-Public, Contractual Investment Fund CJSC; and

In view of the conclusion issued by the Licensing and Supervision Committee of the Central Bank of the Republic of Armenia (Minutes No. 32, dated July 16, 2025),

 the Board of the Central Bank of the Republic of Armenia

 E n a c t s: 

1. Register the changes to the Rules of “MGM Rise” Non-Public, Contractual Investment Fund CJSC.
2. This resolution to enter into force upon being registered with “MGM Rise” Non-Public, Contractual Investment Fund CJSC or on the day following its delivery, in the prescribed manner, to an authorized representative of “MGM Rise” Non-Public, Contractual Investment Fund CJSC.
