BOARD RESOLUTION

September 8, 2026; No. 238 A

On Registration of Change to the Rules of the “Growth Land” Nonpublic Closed-End Contractual Investment Fund of “A.M.P. Management” LLC

Pursuant to Article 2(3) and Article 20(‘ki’) of the Republic of Armenia Law “On the Central Bank of the Republic of Armenia”, and Article 24(4) of the Republic of Armenia Law “On Investment Funds”; and
Whereas on June 6, 2026 and August 12, 2026 “Hokay Capital Asset Management” Limited Liability Company applied to the Central Bank of the Republic of Armenia with a request to register the changes to the Rules of the “Growth Land” Nonpublic Closed-End Contractual Investment Fund of “A.M.P. Management” LLC; and
Considering the conclusion issued by the Licensing and Supervision Committee of the Central Bank of the Republic of Armenia (Minutes No. 42, dated September 2, 2026),

the Board of the Central Bank of the Republic of Armenia

Enacts:

1. Register the Rules of the “Growth Land” Nonpublic Closed-End Contractual Investment Fund of “A.M.P. Management” LLC due to the name change and a number of other modifications (the new name of the Fund reading “Growth Land” Nonpublic Investment Fund of “Hokay Capital Asset Management” LLC).
2. This resolution to take effect upon acknowledgment of its receipt by “Hokay Capital Asset Management” LLC, or on the day following its duly prescribed delivery to an authorized representative of “Hokay Capital Asset Management” LLC.
